Can I place license.txt in system/codeigniter folder?

That does not appear to violate the license agreement.

Also, as long as you are not redistributing the source code, you can not really violate the licensing agreement. So, your question is a little vague.

Thanks, I thought it should stay in the main folder which is quite ugly.

Ultimately if you bundle your software you will probably want to put your own licensing agreement in the main folder which makes note of Code Igniter's agreement.
